Legal Counsel - Corporate & Governance
Job Description
We are looking for detail-oriented and proactive Legal Counsel to join our Legal Corporate & Governance team. As the Legal Counsel, you will help oversee legal matters pertaining to corporate exercises, financing matters, governance advisory as well as day to day business operational related matter (where required). You are expected to work independently and closely with stakeholders from other departments to drive projects to a timely conclusion whilst ensuring the best outcome for the company. Being adept at working with a blank sheet, project ahead and craft solutions is a must.
Responsibilities
- Advisory in corporate financing, mergers & acquisitions and/or any corporate exercise undertaken by the company (including drafting, negotiation and finalizing transaction documents).
- Providing advice and devising solutions for matters pertaining to Companies Act, MMLR, CMSA and such other relevant regulatory requirements.
- Draft, structure and negotiate legal documents whilst assessing the legal risks to ensure CelcomDigi's interests are duly protected.
- Provide timely and practical legal advice, research, and analysis on a wide range of corporate and business matters, offering clear recommendations and actionable solutions.
- Foster strong working relationships with internal stakeholders and external partners, ensuring effective collaboration while maintaining the highest level of professional integrity and confidentiality.
- Ensure all legal requests and matters raised by business units are addressed promptly, accurately, and with sound judgment.
- Liaise with external solicitors and legal advisors as and when required and monitor the performance of external advisers to ensure high quality of services are provided.
- Assist and ensure compliance of the latest regulations and laws in the provision of the legal advice and service to stakeholders to ensure that all legal advice is current and legal provisions are updated
Requirements
- Bachelor's Degree of Law/LLB
- Has at least 3-5 years post qualification experience.
- Admitted as advocate & solicitor of the High Court of Malaya preferably in a law firm or in-house legal department.
- Excellent drafting, analytical, and communication skills.
- Strong understanding of Companies Act, Bursa requirements and Capital Market regulations.
- Ability to work independently and collaboratively in a fast-paced environment
- Experienced corporate matters (including having worked on mergers & acquisitions, and financing matters)
- High level of integrity, discretion, and professionalism.
